Join the Security Innovation Network (SINET) on October 25, 2011, for the SINET Workshops. Take away proven tips, best practices and powerful guidance from experienced professionals and entrepreneurs who chased their dreams and succeeded. SINET has lined up a series of workshops on a broad range of pressing issues confronting early stage and emerging growth companies.
SINET has gathered subject matter experts from government, industry and the venture capital and investment banking communities to share their expertise on a broad range of business challenges facing early stage and emerging growth companies. These workshops present a unique opportunity for entrepreneurs to gain top-level guidance from specialized practitioners who know, understand and want to help high-tech emerging companies make a difference.
The workshops will be presented at the National Press Club, 13th Floor in two tracks on October 25, 2011, from 1:00pm - 5:30pm. You do not need to stick with one track throughout, you may choose freely.

| 1:00 PM Track A | Workshop: Legal Issues Associated with Cyber Security R&D and M&A William Mutryn, Partner, Co-Lead, M&A Practice, Holland & Knight Jody R. Westby, Chief Executive Officer, Global Cyber Risk, LLC This comprehensive program is intended to expand the understanding of the SINET audience regarding the legal issues that impact their engineering efforts, business models, and M&A decisions. Ms. Westby will explore the privacy, security, and cybercrime legal considerations, including foreign legal frameworks, that impact the deployment of technologies. She will also discuss the issues that engineers and investors should consider when investing in and developing technologies and how these legal issues can impact business models, marketing campaigns, and branding. Mr. Mutryn will discuss legal trends in the M&A of companies selling to or servicing the government and will cover trends in areas such as letters of intent and term sheets, due diligence, escrows/holdbacks, set-aside contracts, earn-outs, and private equity structures. He will also explain how cutbacks in government budgets are impacting how purchasers view potential acquisitions, approach valuations, conduct due diligence, and structure deals. |

This session will offer competitive insights for entrepreneurs about how to raise capital in today's market environment. Entrepreneurs must carefully research prospective venture capital firms and develop a compelling VC presentation. They must also demonstrate that they thoroughly understand their target market and how to execute effectively.
